Biography

Cyrus Marshall is Senior Counsel at Andrew & Hopkins, where his practice spans corporate law, commercial litigation, regulatory compliance, and institutional governance. Cyrus is the lawyer clients engage when a transaction will be examined in litigation, or when a litigation will shape the structure of the next deal — the matters where transactional judgment and dispute strategy cannot be siloed.

His transactional work includes mergers and acquisitions, joint ventures, complex commercial contracting, and ongoing corporate governance counseling for public-company and private-equity-backed clients. On the litigation side, Cyrus has represented clients in commercial disputes, breach-of-fiduciary-duty actions, and parallel regulatory proceedings before federal and state courts and arbitral forums. He is engaged regularly by boards, audit committees, and senior management to advise on the institutional governance questions that surface in the wake of M&A activity, leadership transitions, and regulatory inquiry.

Cyrus is known for the candor and pragmatism his clients rely on at the highest-stakes moments — closings, courtrooms, and boardrooms. He is admitted in New York and California and works fluently across the East and West Coast deal markets.
